Terms of Service

MDLaunch LLC | Effective Date: August 30, 2026

These Terms of Service ("Terms") govern your access to and use of the websites, platform, and services operated by MDLaunch LLC, a Colorado limited liability company ("MDLaunch," "we," "us," or "our"), including the marketing website at mdlaunch.com (the "Site") and the MDLaunch physician platform and generated physician websites (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

The MDLaunch platform is designed for licensed physicians in the United States. By creating an account, you represent that you are a licensed physician or an authorized representative of a physician's practice, and that you have the authority to bind the practice to these Terms.

2. Account Registration

You must provide accurate, current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to notify us promptly of any unauthorized use of your account.

3. Description of Services

MDLaunch provides an AI-powered platform that generates and manages professional websites for physicians. The Services include:

  • Identity resolution and data enrichment. We gather publicly available professional data about you from sources including the National Plan and Provider Enumeration System (NPPES), PubMed, and professional data providers to pre-populate your professional profile.
  • AI-generated website content. We use artificial intelligence to generate website copy, page structures, and content based on your verified professional profile, credentials, training, and clinical focus.
  • Website hosting and domain management. We host your generated website and facilitate domain registration and DNS management on your behalf through third-party providers.
  • Ongoing content and reporting. Depending on your subscription tier, we produce ongoing content updates, search visibility reporting, and related marketing services.

4. Physician Review and Approval

All content generated by the platform is presented to you for review and approval before publication. You are responsible for reviewing all generated content for accuracy. By approving content for publication, you confirm that:

  • Your credentials, training, and professional information as displayed are accurate.
  • The content does not contain false, misleading, or deceptive claims.
  • The content complies with applicable state medical board advertising regulations and the AMA Code of Medical Ethics.
  • You accept responsibility for the published content as your own professional communication.

MDLaunch provides automated compliance checks against common advertising regulations, but these checks are not a substitute for your own professional judgment or legal counsel. You remain solely responsible for ensuring that your published website complies with all applicable laws and regulations in your jurisdiction.

5. AI-Generated Content

Content produced by the Services is generated using artificial intelligence. While we design our systems to produce accurate, compliant content grounded in your verified professional data, AI-generated content may contain errors or inaccuracies. You acknowledge that:

  • AI-generated content requires your review before publication.
  • MDLaunch does not guarantee the accuracy, completeness, or regulatory compliance of AI-generated content.
  • You are the publisher of record for your website and bear the professional and legal responsibility for its content.

6. Domain Ownership

Any domain registered through the Services on your behalf is owned by you. You are the registrant of record. If you terminate your account or subscription, you retain ownership of your domain and may transfer it to another provider. We will cooperate reasonably with domain transfer requests.

7. Subscription and Payment

7.1 Fees

Access to the platform requires payment of applicable fees, which may include a one-time setup fee and a recurring monthly subscription fee. Current pricing is available on the Site or upon request. All fees are quoted in U.S. dollars.

7.2 Billing

Subscription fees are billed in advance on a monthly basis. You authorize us to charge your designated payment method for all applicable fees. If payment fails, we may suspend your access to the Services until payment is received.

7.3 Changes to Pricing

We may change our pricing with at least 30 days' notice before your next billing cycle. Continued use of the Services after a price change takes effect constitutes your acceptance of the new pricing.

7.4 Refunds

Setup fees are non-refundable once site generation has begun. Subscription fees are non-refundable for the current billing period. You may cancel your subscription at any time, and cancellation will take effect at the end of the current billing period.

8. Intellectual Property

8.1 Your Content

You retain ownership of any content you provide to us, including your headshot, biography text, and any materials you upload. By providing content, you grant us a non-exclusive, worldwide license to use, display, and modify that content solely for the purpose of delivering the Services.

8.2 Generated Content

Content generated by the platform for your website is licensed to you for use on your website and in connection with your medical practice. This license continues for as long as your subscription is active and survives termination with respect to content already published on your website at the time of termination.

8.3 Platform Improvement and AI Training

By using the Services, you grant MDLaunch a non-exclusive, royalty-free license to use aggregated, de-identified data derived from your use of the platform -- including professional profile structures, content performance metrics, and usage patterns -- to improve, train, and enhance our AI content generation systems and the Services generally. This license does not include the right to publish your individually identifiable information outside of your own website, and does not extend to any patient data (which we do not collect). You may opt out of AI training use by contacting us at hello@mdlaunch.io. MDLaunch will never sell your personal information to third parties.

8.4 MDLaunch Property

The MDLaunch platform, including its software, algorithms, templates, design systems, and proprietary processes, remains the exclusive property of MDLaunch. Nothing in these Terms grants you any right to our underlying technology.

9. Acceptable Use

You agree not to:

  • Provide false or misleading professional credentials or information.
  • Use the Services to publish content that violates applicable medical advertising laws or regulations.
  • Attempt to reverse-engineer, decompile, or extract source code from the platform.
  • Use the Services for any unlawful purpose.
  • Resell, sublicense, or provide access to the Services to third parties without our prior written consent.

10. Data from Public Sources

As part of the Services, we access and process publicly available data about you from government registries (such as NPPES), academic databases (such as PubMed), and professional data providers. You acknowledge and consent to this data collection and processing. You may review and correct any information derived from these sources through the platform's identity confirmation process.

11. Third-Party Services

The Services rely on third-party providers for hosting, domain registration, payment processing, and other functions. Your use of the Services is also subject to the terms and policies of these third-party providers. MDLaunch is not responsible for the acts or omissions of third-party service providers.

12. Availability and Support

We aim to keep the Services available and your website online, but we do not guarantee uninterrupted availability. We may perform maintenance, updates, or modifications that temporarily affect service availability. We will make reasonable efforts to provide advance notice of planned downtime.

13. Termination

13.1 By You

You may cancel your subscription at any time by contacting us or through your account settings. Cancellation takes effect at the end of the current billing period.

13.2 By Us

We may suspend or terminate your access to the Services if you breach these Terms, fail to pay applicable fees, or if we determine in our reasonable judgment that your use of the Services poses a legal or reputational risk.

13.3 Effect of Termination

Upon termination:

  • Your website will be taken offline within a reasonable period (typically 30 days) unless you arrange for migration.
  • You retain ownership of your domain and may transfer it.
  • We will make your content available for export upon request for 90 days following termination.
  • Our obligations to host and maintain your website cease.

14. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." MDLAUNCH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR COMPLIANT WITH ALL APPLICABLE LAWS.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MDLAUNCH'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES YOU HAVE PAID TO MDLAUNCH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL MDLAUNCH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE THEORY OF LIABILITY.

16. Indemnification

You agree to indemnify, defend, and hold harmless MDLaunch and its officers, members, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Services; (b) content published on your website, including content you approved for publication; (c) your breach of these Terms; or (d) your violation of any applicable law or regulation, including medical advertising regulations.

17. Dispute Resolution

17.1 Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles.

17.2 Arbitration

Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in Denver, Colorado. The arbitrator's decision shall be final and binding. Either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.

17.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class, consolidated, or representative action.

18. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the platform at least 30 days before they take effect. Your continued use of the Services after updated Terms take effect constitutes your acceptance of those changes.

19. Miscellaneous

  • Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and MDLaunch regarding the Services.
  • Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
  • Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
  • Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
